Please read the Terms of service below.By using or accessing MattNetwork's Products, Software, Services and Websites (referred as "Services" in this Agreement) including, without limitation, MattFind.com, MattChannel.com, MattClassifieds.com, MattCompare.com, MattLogin.com and MattTrip.com, you agree to be bound by all terms of use provided on this page. If you do not wish to be bound by this Agreement, please do not access, browse, or use MattNetwork's Websites or Services.

2. Changes to this Agreement
This page contains the most recently updated terms of use. You acknowledge and agree that the form and nature of the Services which MattNetwork provides may change from time to time without prior notice to you. Each time changes are made to this Agreement, a revised Agreement will be posted on this Site. Your continued use of our Websites following the posting of changes constitutes your acceptance of any such changes.

3. Privacy Policy
By using MattNetwork's Services, you agree to the terms set forth in our Privacy Policy. Privacy Policy contains terms and conditions that govern our collection and use of the information you provide to us, including our respective rights relative to that information. 4. Personnal Use

The MattFind.com, MattChannel.com, MattClassifieds.com, MattCompare.com, MattLogin.com and MattTrip.com sites are divisions of MattNetwork inc. You may not use MattNetwork's Services to promote or sell products or services, to increase traffic to your Website for commercial reasons, such as advertising sales, or mirror MattNetwork's search results on your Website. You may not take the results from a MattNetwork Website's search and reformat and display them.

Except as expressly authorized by MattNetwork inc., you agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right available through the MattNetwork's Websites because they are protected by copyright, trademark, patent or other proprietary rights and laws.

5. Limited Automated Querying
You may not send automated queries of any sort to the MattNetwork Services. This prohibition includes, without limitation, a prohibition against:

(1) Using any software which sends queries to the MattNetwork Services or any MattNetwork Sites to determine how a Website or webpage "ranks" for various queries;
(2) Meta-searching;
(3) Performing "offline" searches on any MattNetwork's Website. You may not use the MattNetwork Services in a manner or for a purpose that is prohibited by applicable law.


6. You agree not to use our Sites to:
(1) Post any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;
(2) "Stalk" or otherwise harass any other person or entity;
(3) Post any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation except in areas that are expressly designated by MattNetwork for such purpose;
(4) Disseminate or transmit any Content that infringes or violates any party's copyright, trademark, trade secret, patent or other proprietary right, including, but not limited to, using third party copyrighted materials, without appropriate permission, using third party trademarks without appropriate permission or attribution, or using or distributing third party information in violation of a duty of confidentiality;
(5) Disseminate, transmit or post any material that contains any worms, viruses or other harmful, disruptive or destructive files, code or programs;
(6) Violate any law (whether local, state, national, or international), whether or not intentionally;
(7) Post any content that you do not have a right to under any law or under contractual or fiduciary relationship (which includes inside information, proprietary or confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(8) Interfere with or disrupt the MattNetwork Services, our Sites, or servers or networks connected to our Sites, or disobey any requirements, procedures, policies, or regulations of networks connected to the Sites;
(9) Collect or store personal data about other users;
(10) Engage in any activities that would violate the personal privacy rights of others, including but not limited to, collecting and distributing information about Internet users without their permission, except as permitted by applicable law.

7. Links to Other Web Sites
A central part of the MattNetwork Services includes links to other World Wide Web sites or resources. You acknowledge and agree that MattNetwork is not responsible for unintended search results that may occur as a result of using MattNetwork's Services or for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. It is impossible for MattNetwork to predict which web pages will be displayed as a result or your specific search and MattNetwork has no control over web pages not specifically associated with MattNetwork. You understand that by using the MattNetwork Services, you may be exposed to contents that are offensive, indecent or objectionable.

8. Termination
You agree that MattNetwork, in its sole discretion, may, under certain circumstances and without prior notice, immediately terminate your account and access to any of the MattNetwork Services and/or remove, discard or modify any content within the Service, for any reason, including, without limitation, for lack of use or if MattNetwork believes that you have violated or acted inconsistently with the letter or spirit of this Agreement.You agree that any termination of your access to the MattNetwork Services may be effected without prior notice, and acknowledge and agree that MattNetwork may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the MattNetwork Services. If you use the Websites in violation of this Agreement, MattNetwork may, in its sole discretion, retain all data collected from your use of the Site. Further, you agree that MattNetwork shall not be liable to you or any third party for the discontinuation or termination of your access to the MattNetwork Services, or collection of information notwithstanding in the case of your violation of this Agreement, even if advised of a claim for damages.

9. Information Disclaimer and Disclaimer of Warranties
MattNetwork disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the MattNetwork Services results. MattNetwork disclaims:
(1) Any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material;
(2) Any responsibility for any harm resulting from downloading or accessing any information or material on the Internet through the MattNetwork Services.

BY USING MATTNETWORK'S SERVICES YOU UNDERSTAND AND AGREE THAT:

A. MATTNETWORK'S SERVICES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. NO CONTENT ON OUR SITES IS INTENDED TO CONSTITUTE PROFESSIONAL ADVICE, WHETHER MEDICAL, FINANCIAL, LEGAL OR OTHERWISE. MATTNETWORK AND THOSE POSTING OR OTHERWISE PROVIDING INFORMATION, SERVICES OR MATERIAL ON OUR SITES ARE NOT RESPONSIBLE OR LIABLE FOR ANY CONSEQUENCES RELATING DIRECTLY OR INDIRECTLY TO ANY ACTION OR INACTION YOU TAKE BASED ON THE INFORMATION, SERVICES OR OTHER MATERIAL ON OUR SITES.

B. YOUR USE OF THE MATTNETWORK SERVICES IS AT YOUR SOLE RISK. THE MATTNETWORK SERVICES, AND ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN THE MATTNETWORK SERVICES ARE PROVIDED "AS IS," AND "AS AVAILABLE" BASIS. MATTNETWORK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT.

C. MATTNETWORK MAKES NO REPRESENTATION OR WARRANTY THAT MATTNETWORK SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE MATTNETWORK SERVICES WILL BE UNINTERRUPTED, SECURE, CURRENT OR ERROR-FREE, THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE MATTNETWORK SERVICE WILL BE ACCURATE, TIMELY, USEFUL OR RELIABLE, OR THAT THE QUALITY OF ANY POSTINGS, PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED BY YOU THROUGH MATTNETWORK SERVICES WILL MEET YOUR NEEDS.

D. ANY MATERIAL OBTAINED THROUGH THE USE OF MATTNETWORK SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO COMPUTER SYSTEMS OR FOR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

E. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OUR SITE OR THROUGH OR FROM THE MATTNETWORK SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THEIR TERMS.

F. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

10. Limitation of liability
YOU UNDERSTAND AND AGREE THAT MATTNETWORK IS NOT LIABLE TO ANY PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, HOWSOEVER CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE RESULTING FROM:

A. THE USE OF, OR THE INABILITY TO USE, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE MATTNETWORK SERVICES (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES);
B. THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES, GOODS, OR AND WEBSITES, LOST PROFITS, OR LOST DATA;
C. UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
D. THE STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SITES;
E. RELIANCE ON CONTENT OR POSTINGS ON OUR SITES;
F. ANY OTHER MATTER RELATING TO OUR SITES OR MATTNETWORK SERVICES.

THESE LIMITATIONS WILL APPLY WHETHER OR NOT MATTNETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. EXCEPT AS REQUIRED BY THE INDEMNITY PROVISIONS HEREIN, IN NO EVENT WILL MATTNETWORK'S DIRECT LIABILITY HEREUNDER EXCEED $100.00.
SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

11. Indemnification of MattNetwork
You agree to indemnify and hold MattNetwork, its subsidiaries, and affiliates, and their officers, directors, employees and agents harmless from and against any and all liability, losses, claims, demands, disputes, damages or costs of any kind, including, without limitation, reasonable attorneys' fees and costs of litigation, resulting from or in any way connected with:
(a) Postings or other content you submit or that are submitted from your account;
(b) Your use of or reliance on MattNetwork Services;
(c) Your connection to our Websites;
(d) Your violation of this Agreement;
(e) Your violation of any rights of another party.

12. No Other Agreements Between Us
With the exception of our Privacy Policy, this Agreement constitutes the entire agreement between you and MattNetwork for governing your use of our Websites and Services and supersedes any prior agreements between you and MattNetwork for that purpose, including any membership agreements or other similar agreements applying to our Websites or MattNetwork's Services.

13. Law Applicable to Interpretations and Disputes
This Agreement and the relationship between you and MattNetwork are governed by the laws of the State of California without regard to its conflict of law provisions. You and MattNetwork agree to submit to the personal and exclusive jurisdiction of the courts located within the county of San Francisco County, California.

14. Severability of This Agreement
If any provision of this Agreement is found by a court or other binding authority to be invalid, you agree that every attempt shall be made to give effect to the partie's intentions as reflected in that provision, and the remaining provisions contained in this Agreement shall continue in full force and effect.

15. Limitation of Actions Brought Against MattNetwork
You agree that any claim or cause of action arising out of your use of our Sites or this Agreement must be filed within one year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary. Within this period, any failure by MattNetwork to enforce or exercise any provision of this Agreement or related right shall not constitute a waiver of that right or provision.

16. Trademarks
MattNetwork and the MattNetwork logo and other MattNetwork product names, service names, slogans or logos referenced in these Terms of Service are trademarks or registered trademarks of MattNetwork, inc. in the United States and other countries. All other company, product, or service names referenced or mentioned in Terms of Service are used for identification purposes only and are the property of their respective owners.
